Founding Isaac’s Well
Isaac’s Well is to be an independent nonprofit, open to members of RBNet and FIRE churches, each one affirmed by their own elders. These papers propose how it is founded, governed and run. They are drafts for the working group to correct and adopt.

Elders affirm
On the site, the elders' part is at the door. They affirm their own member, and Isaac's Well shows them nothing further. A pastor sees only the applications of his own church's members. He is not told whom a member is interested in, or who is interested in them, unless the member chooses to tell him. He is told more only as sections 9.7 to 9.9 say. The elders' oversight of their member is not lessened. It simply does not run through Isaac's Well (Hebrews 13:17).

Mutual interest
Interest is private until it is mutual. Contact details are never shown on a profile, and introductions are private. Those who run the site or handle reports read members' messages only to deal with a report or fix a fault. Opening a member's messages through Isaac's Well's tools is recorded, and the chairman, or another director if he must stand aside under section 9.6, reviews that record. Direct access to the database is limited to [named roles], used only to repair faults, and logged by the hosting provider. The board may let software check messages for signs of fraud, such as payment apps, gift cards, cryptocurrency or a phone number early on. It shows a warning only to the person receiving the message. No person reads it, and nothing is decided by it.

Meeting in person
Most singles who were unsure about an online meeting place told us they would rather meet in person. So Isaac's Well plans gatherings alongside the site from the start: at the General Assembly, in regions and online. Part of what it receives goes to help them. The site is a way to find one another. Marriages are built face to face.

Marriage in the Lord
Isaac's Well is for unmarried adults who hope to marry, and are ready to begin. It is not a place for casual dating, for friendship or for passing the time. Everything about it should point toward marriage in the Lord (1 Corinthians 7:39), and toward the honest, unhurried acquaintance that leads there.

Three directors
Isaac's Well has exactly three directors, who together are the board. Between them they run all of its work and operations. Each holds one of three seats, and each seat is a fixed role: an elder as chairman, the woman director and the project lead. The working group seats the first directors at founding. Each director serves a term of [three] years, and the board may re-elect them for further terms without limit. A director leaves office earlier if they resign or are removed, or their commendation lapses. A director whose term has ended serves until re-elected or replaced.

Chairman
The chairman is an ordained, serving elder of a participating church, with pastoral experience. He is the chairman and spiritual adviser to the work, and spiritual leadership of the work rests with him. He has one vote, as the others do. He leads by counsel, may ask that a matter wait one meeting for prayer and counsel, and section 3 cannot be changed without him (section 12.2). Action on a report under section 9 is never postponed for prayer and counsel. His time on the work is kept modest: about [time to be agreed with him], so that it never draws him from prayer and the ministry of the word (Acts 6:4).

Woman director
The woman director is a mature Christian woman in good standing in her church (Titus 2:3–5). She need not be married. Because Isaac's Well is not a church and its board holds no church office (section 1.6), a woman may serve as a director. The oversight Scripture gives to the elders of a church remains with the churches. Isaac's Well serves women as much as men, and she brings their wisdom to every decision. She reads first any report made by a woman, or about a woman if the reporter asks (section 9.6). Before Isaac's Well opens, the board names at least one other woman, usually from the advisory board, who can stand in for her. Both receive basic training in responding to abuse and fraud.

Project lead
The project lead leads the building and day-to-day running of the site, its operations and the budget, and reports to the board. He is a full, voting director. He may be the representative of a firm that does the work, and work with colleagues there. The seat is his own, not the firm's, and the firm names no one to it. He is himself a member in good standing of a participating church of RBNet or FIRE (section 7.2). Colleagues given access to members' information first meet section 7.3, any pay to the firm is approved under section 7.11, and what the firm makes for Isaac's Well belongs to it (section 8.10).

Advisory board
Volunteers who want to help, mostly pastors of participating churches, and others the directors invite, form an advisory board. Someone becomes an adviser by asking, and the directors welcome them. The advisory board keeps standing seats for at least [two] pastors of RBNet churches and for one person RBNet itself names. An empty seat never holds up the work: the directors invite a pastor of an RBNet church to a pastor's seat, or ask RBNet to name its person, and the work goes on meanwhile. FIRE is welcome as a supporter, and if it asks, one person FIRE names may sit on the advisory board too. Advisers meet with the directors from time to time, for example once or twice a year or when a major decision is coming. They receive the minutes, are consulted by survey, and may leave at any time. All advisers, including those in these seats, give counsel on governance, conduct, theology and the platform's features. They are informal: they have no vote, no power to appoint or remove a director, no fixed term and no duties beyond giving counsel. These papers do not otherwise regulate the advisory board, except that advisers follow the conflict-of-interest policy, and an adviser asked to help with a report first meets section 7.3.

Conflicts of interest
Anyone who serves Isaac's Well, whether as a director, officer or adviser, says so when they, their family or their business has a financial interest in a matter, and takes no part in deciding it. If one director has such an interest, the other two decide, and both must agree. If two have one, the matter is declined, or waits for a route counsel advises. If pay to a director, including the project lead or his firm, or to anyone else who serves, ever arises: the interested director leaves the discussion and the vote; the other two directors decide in advance, at a meeting, after seeing what the same work costs elsewhere, such as other quotes or published rates, and never above that; the agreement is a written contract that Isaac's Well may end on thirty days' notice; it is recorded in the minutes by the next meeting, with the comparison relied on and the vote; and no one approves a payment to himself, his family or his business. Pay for work done before founding is possible only if, before founding, the person recorded in writing that they expected to be paid at a stated rate. Otherwise that work is a gift. Each director's pay is decided separately, and what each director is paid is reported each year to the participating churches. The board adopts a written conflict-of-interest policy at founding.

Reports and safety
Any member can report a concern, through the site or by writing. Reports are acknowledged automatically and read within [two] days. Isaac's Well is run by a few volunteers and is not an emergency service: anyone in danger should call 911. Any member may also block another at any time, without a report or a reason. The blocked member is not told, and neither sees the other. A report automatically blocks contact between the two. Blocking or reporting never deletes or hides the conversation from the member who blocks or reports. They can still read it, download it and report it. Before a report is sent, the form says: "They will stop seeing you at once, and if you report threats their messaging is paused at once. They may guess why. If you fear what they may do, call 911 or the National Domestic Violence Hotline (1-800-799-7233) first, and we will help you plan." Steps that only keep two members apart are not findings. They need no hearing, and are never reported to elders.

Listening

Questions for the working group
Is a nonprofit, rather than an LLC, the right form? The form is settled: Isaac’s Well is to be a nonprofit, not an LLC.- Is three directors the right shape:
a senior pastoran elder as chairman, a woman and the project lead, with an advisory board around them on which RBNet holds standing seats? - Tax-exempt status looks unlikely for an introductions service. Are we content to run as a nonprofit whose gifts are not tax-deductible?
- Whom should we ask to serve, and to advise?
Steps to founding
- The working group sends changes and suggests who should serve and advise.
- It meets to agree on the main points.
- RBNet is asked to name its adviser, and to consent to the articles recording its seats.
- Isaac’s Well is incorporated, and its directors adopt the charter.
- A small first version is built, and RBNet and FIRE are asked to commend it.
- It opens once enough women as well as men are affirmed.
